Acceptance of Terms

By accessing or using Mutumina ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree with any part of these Terms, you may not use the Service.

These Terms apply to all users of the Service, including visitors, registered users, and any organisation on whose behalf an individual accesses the Service.

Description of the Service

Mutumina is a content distribution platform that allows users to compose content via Telegram and distribute it to connected social media platforms including LinkedIn, Facebook, X (Twitter), and Instagram.

The Service operates on the HCADE (Human Centered Automation and Delivery Engine) framework. This means:

• Every post requires your explicit approval before it is published to any platform
• Automation assists you — it never acts independently on your behalf
• You retain full editorial control over all content at all times

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. Where possible, we will provide reasonable notice of significant changes.

Your Account

Registration

To use Mutumina, you must create an account by providing a valid email address and connecting your Telegram account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date.

Account Security

You are responsible for maintaining the security of your account. This includes:

• Keeping your login credentials confidential
• Not sharing your account with any other person
• Notifying us immediately at security@mutumina.com if you suspect any unauthorised access
• Taking responsibility for all activity that occurs under your account

Eligibility

You must be at least 16 years of age to use Mutumina. By using the Service, you represent and warrant that you meet this requirement.

Acceptable Use

Mutumina may only be used for lawful purposes and in accordance with these Terms. The following are examples of permitted and prohibited uses:

Your Content

Ownership

You retain full ownership of all content you create, submit, or publish through Mutumina ("Your Content"). We make no claim to ownership of Your Content.

Licence to Operate the Service

By using Mutumina, you grant us a limited, non-exclusive, royalty-free licence to process, store, and transmit Your Content solely to the extent necessary to provide the Service — for example, holding a draft until you approve and publish it. This licence ends when you delete the content or close your account.

Your Responsibility

You are solely responsible for Your Content and the consequences of publishing it. You represent and warrant that:

• You own or have the necessary rights to all content you publish through the Service
• Your content does not violate any applicable law or the rights of any third party
• Your content complies with the community guidelines of each connected platform

Connected Platforms

Mutumina integrates with third-party social media platforms via their official APIs. By connecting a platform, you:

• Authorise Mutumina to post content to that platform on your behalf, subject to your approval for each post
• Acknowledge that your use of that platform remains subject to its own terms of service and community guidelines
• Accept that Mutumina is not responsible for any actions taken by those platforms, including the removal, restriction, or suspension of your account on those platforms

You can disconnect any platform at any time from your account settings. Disconnecting a platform immediately revokes Mutumina's ability to post on your behalf to that platform.

Subscription & Billing

Pricing

Mutumina offers subscription plans, details of which are available on our pricing page. Prices are stated in the currency displayed at the time of purchase and are inclusive of any applicable taxes unless stated otherwise.

Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on your chosen plan). By subscribing, you authorise us to charge your payment method on each billing date until you cancel.

Free Trial

We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires. We will notify you before your trial ends.

Cancellation & Refunds

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of your current billing period — you retain access until then
• We do not offer refunds for partial billing periods except where required by applicable law
• If you believe you have been charged in error, contact us within 30 days at billing@mutumina.com

Termination

Termination by You

You may close your account at any time by visiting your account settings or contacting us at support@mutumina.com. Upon account deletion, your data will be permanently removed within 30 days in accordance with our Privacy Policy.

Termination by Us

We may suspend or terminate your account immediately and without notice if:

• You materially breach these Terms and fail to remedy the breach within 7 days of notice
• You use the Service in a way that poses a legal, security, or reputational risk to Mutumina or other users
• We are required to do so by law or regulatory authority
• Your payment method fails and the balance remains unpaid for more than 14 days

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Content ownership, Disclaimers, Limitation of Liability, and Governing Law) will continue to apply.

Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties including:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, error-free, or free of viruses or other harmful components
• Any warranty regarding the accuracy, reliability, or completeness of any content on the Service

Limitation of Liability

To the maximum extent permitted by applicable law, Mutumina and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Damage to reputation arising from content published through the Service
• Costs of substitute services
• Any unauthorised access to or alteration of your content

In all cases, our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) USD $100.

Indemnification

You agree to defend, indemnify, and hold harmless Mutumina and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your Content and any claim that it infringes the rights of a third party
• Your violation of any applicable law or the rights of any person or entity

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration.

Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via email at least 14 days before the changes take effect
• Where required by law, obtain your renewed consent before the changes apply

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
